CONSTITUITION
AND BY-LAWS OF
THE STEPHENVILLE
BASS CLUB

NAME:
Section 1. The
name of this organization shall be THE STEPHENVILLE BASS CLUB.
ARTICLE
II
PURPOSE:
Section 1. The
purposes for which this corporation is organized are:
A. To farther the sport of bass fishing.
B. To farther good sportsmanship.
C. To farther and participate in worthwhile community activities.
D. To support local charitable organizations by organizing, participating, or contributing to their activities/events.
ARTICLE_III
MEMBERSHIP:
Section 1. Membership
is open to all persons interested in the club’s purposes. Dues for a person
and his immediate family are thirty dollars ($30) per year or any portion,
the fiscal year being from January 1 through December 31. Membership is obtained
by payment of yearly dues and approval by majority vote at a regularly scheduled
club meeting. Upon majority consensus, a person making a significant contribution
to the club may be granted membership for a year.
Section 2. Severe misconduct by a club member should be brought to attention at a regular club meeting. After discussion, if the majority of club members deem the misconduct severe enough, membership may be revoked by secret ballot and the offender’s full dues returned. The offender shall not be eligible for club membership for a period of one year from date of termination of membership. After one year, the offender may reapply for membership in writing to the club president. The president will present the petition for reinstatement to the club. After discussion, the offender may be reinstated only by 100% vote approval and on payment of dues for a year.

OFFICERS:
Section 1. Officers

Section 2. Officers shall hold office for a one-year period. Election of officers shall be held at the regularly scheduled meeting in December.
Section 3. If for any reason an officer must terminate, the post shall be filled by majority vote of a properly nominated club member at the next regularly scheduled club meeting.

Officers may appoint willing members to help them in their duties. Committees may be appointed during a regular meeting, having a set time for the committee chairman to make a report.
ARTICLE_V
MEETINGS:
Section 1. Regularly
scheduled club meetings will be held on the first Tuesday of each month at
a place and time agreed on by the club members.
Section 2. Special
meetings may be called if necessary by agreement of club officers.

VI
BY-LAWS:
Section 1. A
copy of these By-Laws shall be mailed to all regular members and given to
all new members as they are enrolled.
ARTICLE_VII
CONSTITUTION:
Section 1. "The
Stephenville Bass Club" constitution is herby accepted as the constitution
of this non-profit corporation and is herein incorporated into this instrument
as if it were set forth verbatim.

AMENDMENTS:
Section 1. Amendments
to the Constitution may be made by a majority vote of the club’s membership
at a regularly scheduled club meeting. Any rules which govern club activities
which are found to be contradictory to a state or federal law shall be superceded
by that law.

TOURNAMENTS:
Section 1. Intra-Club
Rules: Stephenville Bass Club Tournament Rules shall be updated by a majority
vote of the club’s membership at a regularly scheduled meeting usually by
the meeting before the first tournament of the current fiscal year (December
meeting). Rules shall be given to each member.
Section 2. Team
Jackpot Rules: Stephenville Bass Club Team Jackpot Rules shall be updated
by a majority vote of the club’s membership at a regularly scheduled meeting
usually by the meeting before the first tournament of the current fiscal year
(December meeting). Rules shall be given to each member.
Section 3. Awards
Guidelines: Stephenville Bass Club Award Guidelines shall be updated by
a majority vote of the club’s membership at a regularly scheduled meeting
usually by the meeting before the first tournament of the current fiscal year
(December meeting). Rules shall be given to each member.
ARTICLE__X
DISSOLUTION:
In the event of dissolution
of the Stephenville Bass Club, the assets, if any, will be distributed by
the club’s Secretary-Treasurer, with approval and direction of existing members,
to a non-profit organization or to the federal, state, or local government
for public use. The club shall remain active so long as seven members desire
club activities to continue.
Approved and adopted by a majority of the vote of members of The Stephenville Bass Club on March 6, 2001 at the regularly scheduled club meeting.
